Client Agreement

1. Hiring & Contracting Rules
This Client Agreement ("Agreement") governs the terms under which you hire talent and manage contracts as a Client on **CreativeHubPH**.
By publishing a project, selecting "Hire Me" on a freelancer's profile, issuing a contract, or checking the consent box, you agree to be bound by this Agreement.
You are responsible for evaluating the suitability of freelancers for your projects. You negotiate and set project parameters, requirements, deadlines, and budgets. You agree that CreativeHubPH does not employ, guarantee, or supervise freelancer deliverables.
2. Wallet Funding & Payments
All payments must be processed through the Platform in Philippine Pesos (PHP).
- Wallet Deposits: You can deposit funds into your available wallet balance via supported payment gateway methods. Wallet balances are utilized to pay freelancer invoices, fund project escrows, and pay subscription retainers.
- Invoice Settlement: Freelancers submit invoices to you for approval and payment. When paying an invoice, you authorize the secure transfer of funds via our payment gateway checkout to settle the transaction.
- No Off-Platform Transactions: You agree not to bypass the platform's payment systems by making direct deposits or payments to freelancers outside CreativeHubPH. Attempting to pay off-platform will result in immediate account termination.
3. Escrow & Milestone Funding
We operate an escrow milestone system to protect both Clients and Freelancers:
Milestone Escrow Rules:
- When you assign a project milestone, you agree to deposit the milestone budget into the platform's secure escrow.
- Escrowed funds are held by CreativeHubPH and are not accessible to the Freelancer until you review and approve the corresponding work submission.
- By clicking "Approve Work" or authorizing the release of a milestone invoice, you instruct CreativeHubPH to immediately and irrevocably transfer the escrowed funds to the Freelancer's wallet balance.
4. Project Cancellations & Refund Rules
If a project needs to be cancelled, the following refund rules apply:
- Mutual Cancellation: If both parties agree to cancel a contract before deliverables are submitted, the escrowed funds will be refunded to the Client's available wallet balance.
- Freelancer Default: If a freelancer fails to deliver milestones or log validated hours according to deadlines, the Client may cancel the contract and request a refund of escrowed funds.
- Refund Execution: Approved refunds are credited to the Client's platform wallet balance. Clients may request to withdraw this balance back to their original payment account. Processing can take up to seven (7) business days.
5. Chargeback & External Dispute Bans
To maintain marketplace stability, all billing disputes must be submitted directly to our Admin Moderation system.
You agree not to initiate chargebacks, credit card disputes, or payment gateway dispute claims directly with your financial institutions or payment providers before submitting a dispute request to the CreativeHubPH Admin team.
If you file an external chargeback or payment gateway dispute bypass without admin authorization:
- Your account will be placed on immediate administrative hold.
- We reserve the right to suspend access to all active workspaces, files, and messaging systems.
- You will be liable for all platform chargeback fees, legal costs, and administrative recovery overhead.
6. Subscription & Retainer Billing
Clients and Freelancers may establish monthly retainer agreements.
- Automatic Billing: Subscriptions are auto-renewed monthly. The client's linked payment card or wallet balance will be charged the recurring subscription fee at the beginning of each billing cycle.
- Cancellation: You may cancel a subscription at any time via your dashboard settings. Cancellations will take effect at the end of the current billing cycle. No partial refunds are provided for mid-cycle cancellations.
- Default: If automated billing fails, the subscription contract is suspended immediately and the Freelancer is notified to cease active retainer work.
7. Deliverable Copyrights & Intellectual Property
Protecting your intellectual property is a primary design goal:
- Clearance Transfer: You only acquire copyright, ownership, and usage rights to project deliverables once you have paid the corresponding freelancer invoices in full and funds have cleared into the Freelancer's wallet balance.
- Pre-payment Restrictions: You may not copy, distribute, use, or publish any files, mockups, or deliverables shared by freelancers in workspaces prior to full milestone payment.
- Usage Disputes: If a project is cancelled or refunded without payment, the Freelancer retains full ownership of the designs, code, or assets, and you must destroy all copies in your possession.
